Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Noeta, Inc. ("Noeta"). By creating an account or using Noeta you agree to these Terms.

1. The service

Noeta provides ambient clinical documentation, scheduling, and related practice tools to licensed healthcare providers. The service is offered on a per-seat subscription basis at $99 per clinician per month, with a 14-day free trial.

2. Eligibility

You represent that you are at least 18 years old, that you are a licensed healthcare provider or an authorized administrator of a provider, and that your NPI and EIN are valid and active.

3. Acceptable use

• Do not upload data you do not have the right to process.
• Do not reverse-engineer, resell, or sublicense the service.
• Do not use Noeta to provide care outside your licensed scope.

4. Subscriptions and billing

Subscriptions renew monthly until cancelled. You can cancel any time from your billing settings; the cancellation takes effect at the end of the current period. Trials require a valid payment method; you will not be charged until day 15.

5. Your data

You own all clinical data you upload. Noeta processes it strictly as your Business Associate under the BAA and Data Processing Agreement. See our Privacy Policy for details.

6. Service availability

We target 99.9% monthly uptime. Scheduled maintenance is announced at least 48 hours in advance. We are not liable for outages caused by force majeure, third-party providers, or your own connectivity.

7. Disclaimer of medical advice

Noeta is a documentation tool, not a medical device, not a substitute for clinical judgment, and not a source of medical advice. You are solely responsible for the accuracy of any clinical note before signing it.

8. Limitation of liability

To the maximum extent permitted by law, Noeta's aggregate liability is limited to the fees you paid in the 12 months preceding the claim. Noeta is not liable for indirect, incidental, or consequential damages.

9. Termination

We may suspend or terminate accounts that violate these Terms, applicable law, or pose a security risk. On termination you may export your data for 30 days, after which it is deleted per our retention policy.

10. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes are resolved in the state and federal courts located in New Castle County, Delaware.

11. Changes

We may update these Terms; material changes will be notified at least 30 days in advance.
